Terms and Conditions for the Sale of Goods & Services on Credit .

1. Introduction

These Terms and Conditions for the Sale of Goods on Credit ("Terms") govern the sale of goods on credit terms by Triple Solar Ltd “Company”, to the purchaser “company” By placing an order with us, you agree to be bound by these Terms.

2. Definitions

  • Goods: Refers to the products offered for sale by  Triple Solar Ltd .

  • Order: A request by the Customer to purchase Goods from the Company.

  • Credit Terms: The payment arrangement allows the Customer to pay for Goods after receipt, as specified in these Terms.

  • Invoice: A document issued by the Company requesting payment for Goods provided on credit.

3. Orders

3.1 Placing an Order

Orders can be placed through https://triplesolar.co.uk, via email at  sales@triplesolar.co.uk or by calling us at  +44 (0)1279 445341. We may also take orders by other electronic mediums or verbally. All Orders are subject to acceptance and availability.

3.2 Order Acceptance

Upon placing an Order, you will receive an acknowledgment email. This email is not an acceptance of your Order. An Order is considered accepted once we issue a sales order or Invoice.

3.3 Amendments and Cancellations

Orders may be amended or cancelled before shipment by contacting us at  sales@triplesolar.co.uk. Amendments or cancellations after shipment are subject to our return policy as outlined in Section 7.


4. Credit Terms 

4.1 Eligibility

Credit terms are available to approved Customers only. Eligibility is determined based on credit history and other factors deemed relevant by the Company.

4.2 Credit Limit

The Customer's credit limit will be determined by the Company and may be reviewed periodically. The Customer will be notified of their credit limit upon approval.

4.3 Payment Terms

Invoices are payable in full without any deductions or set-offs, must be made in cleared funds by the end of the month following the delivery of goods, or earlier if demanded. Alternatively if agreed then within the agreed payment terms when the contract was made. Payment must be made in GBP by bank transfer, or other approved payment methods.

4.4 Late Payments

If you fail to meet the payment terms promptly, the following steps will be taken: Charge interest on overdue amounts at 8% plus the Bank of England base rate, as per the statutory rate outlined in the Late Payment of Commercial Debts (Interest) Act 1998.

The Customer agrees to pay for recovery and Legal fees and collection costs incurred by the Company in pursuing overdue payments. These actions will not affect any rights we’ve already acquired under such contracts. Additionally, if any amount becomes overdue under this clause, all sums payable under any existing contracts will immediately become due.

4.5 Credit Suspension

The Company reserves the right to suspend or terminate credit terms if the Customer fails to comply with payment obligations or if their creditworthiness changes. Suspended accounts may require immediate payment for outstanding balances and prepayment for future Orders.

5. Pricing and Taxes

5.1 Pricing

All prices are listed in GBP and we reserve the right to modify our prices, discount rates, and conditions of Sale at any time without prior notice. Prices will be confirmed at the time of Order acceptance.The sale of all goods is based on the prices and applicable discounts in effect at the time of delivery. If you choose only specific items when placing your order or request reduced quantities, we maintain the right to reassess the discounts and prices at which we accept such orders.

5.2 Taxes

Prices exclude applicable taxes unless stated otherwise. The Customer is responsible for all taxes, duties, and charges imposed by any governmental authority.  

The sale of all goods is based on the prices and applicable discounts in effect at the time of delivery. We reserve the right to modify our prices, discount rates, and Conditions of Sale at any time without prior notice. Our discounts and prices are typically calculated for complete orders or the majority of an order. If you choose only specific items when placing your order or request reduced quantities, we maintain the right to reassess the discounts and prices at which we accept such orders.

6. Delivery

6.1 Shipping and Handling

Shipping and handling fees are calculated based on the delivery address and method. The Customer is responsible for these fees unless otherwise agreed upon.

6.2 Delivery Times

Estimated delivery times are provided for guidance and are not guaranteed. The Company is not liable for delays caused by external factors such as shipping carriers or customs clearance.

6.3 Risk of Loss

Risk of loss and title for Goods pass to the Customer upon delivery. The Customer should inspect the Goods upon receipt and notify the Company of any issues within 15 days.

7. Returns and Refunds

7.1 Return Policy

Returns are accepted for Goods in their original condition and packaging and seals intact within 15 Days of delivery. To initiate a return, please contact us at sales@triplesolar.co.uk.

7.2 Refunds

Refunds will be issued to the original payment method within 2 weeks of receiving the returned Goods. Shipping and handling fees are non-refundable.

7.3 Non-Returnable Items

Certain items may be non-returnable, including but not limited to custom-made products, perishable goods, and clearance items. Such items will be clearly marked at the time of sale.

8. Warranties

8.1 Product Warranty

The Company warrants that the Goods will be free from defects in material and workmanship for manufacturer warranty. If a defect arises within this period, the Customer may return the product for repair, replacement, or refund directly with the manufacturer. Triple solar Ltd takes no liabilities or claims for warranty of claims and all claims lay directly with the manufacturer. We are unable to offer compensation or labour charges on any products and such claims must be made to the manufacturer directly.

8.2 Disclaimer of Warranties

Except as expressly provided in these Terms, the Goods are provided "as is" without any warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

9. Limitation of Liability

To the maximum extent permitted by law, the Company's liability for any claim arising from or related to these Terms or the sale of Goods shall not exceed the purchase price paid by the Customer for the Goods. The Company shall not be liable for any indirect, incidental, or consequential damages.

10. Indemnification

The Customer agrees to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses, including legal fees, arising from the Customer's breach of these Terms or misuse of the Goods.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England, Wales & the republic of Northern Ireland , without regard to its conflict of law provisions. Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the courts of England, Wales & the republic of Northern Ireland .

12. Changes to These Terms

The Company reserves the right to modify or replace these Terms at any time. Any changes will be effective immediately upon posting on the Company's website. Your continued use of the credit terms after any changes constitutes your acceptance of the new Terms.

13. Entire Agreement

These Terms, together with any documents expressly referred to in them, constitute the entire agreement between the Customer and the Company regarding the sale of Goods on credit terms. They supersede all prior agreements, understandings, or representations.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15. Waiver

No waiver of any breach or default under these Terms shall be deemed a waiver of any subsequent breach or default.

16. Retention of Title 

Ownership Retention

  • Title & ownership of the goods shall remain with Triple Solar Ltd, until all sums due from the buyer, invoiced under this contract or terms and conditions, including any applicable interest and charges, have been paid in full.

Possession and Risk

  • While the title to the goods remains with the Seller, risk of loss or damage to the goods shall pass to the Buyer upon delivery. The Buyer shall be responsible for insuring the goods from the time of delivery

Buyer's Obligations

  • The Buyer shall:

    • Keep the goods separate from other goods and clearly identifiable as the Seller's property.

    • Not remove, deface, or obscure any identifying marks or packaging on or relating to the goods.

    • Maintain the goods in satisfactory condition and keep them insured against all risks for their full price from the date of delivery.

Legal Disclaimer

The company reserves the right to acquire the physical ownership of the goods in the event the company went into liquidation without clearing its liabilities toward the Triple Solar Ltd ,. It's highly recommended to consult with a legal professional to ensure that you abide by the terms and conditions agreed upon for future consequences & risks.
